If it gives a product key it will be worth it. Also, one can purchase a backup DVD for $15 plus or get packaged DVD of Windows 8 Pro from a local store, available for $69.99. And your earlier ver Windows from whcih its being upgraded Key required You just need to have legit underlying license for either Windows XP, Windows Vista or Windows 7. In my case i have vista license but i never use vista in my PC. :D $39.99 is very good deal having Windows 8 with product key and downloading iso media file.
