hamede
You are right , there is some thing wrong VirtualBox 4.2.18 + Win 8.1cause I have just upgrade my PC from W8 to W 8.1( save all sitting and file during upgrade ) , all applications work fine except VirtualBox 4.2.18 so I uninstall it , wait for update http://www.nsaneforums.com/topic/183846-windows-81-build-9600-rtm-download-links-permanent-activation-via-phone/?p=648115
rseiler
Does it happen when you install without selecting networking (NAT networking will still work, as it doesn't need the driver)? It should.Alternatively, try the "devicedisablewake" command as shown in Q976877.
stylemessiah
Im not sure id want my PC going to sleep while running a VM in the first place, but you can try using Bridge mode for the Guest networking
